1. Agreement to Terms

By accessing or using Gaenly ("Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, do not use the Service. Gaenly helps fitness professionals create Instagram content, including weekly plans, captions, and designed visuals.

2. Eligibility

You must be at least 16 years old and have the legal capacity to enter into a binding agreement to use the Service. By using the Service, you represent that you meet these requirements.

3. Account and Registration

You may need to register and maintain an account to use certain features. You agree to provide accurate information and to keep your account credentials secure. You are responsible for all activity under your account. Notify us promptly of any unauthorized use.

4. Use of the Service

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Violate any applicable laws or regulations.
  • Infringe the intellectual property or other rights of Gaenly or any third party.
  • Upload content that is illegal, harmful, defamatory, or that you do not have the right to use.
  • Attempt to gain unauthorized access to the Service, other accounts, or our systems.
  • Use the Service to send spam, distribute malware, or engage in scraping or automated abuse.
  • Resell or sublicense the Service or use it to build a competing product without our consent.

We may suspend or terminate your access if we reasonably believe you have violated these Terms.

5. Your Content

You retain ownership of content you upload (e.g., photos, logo, strategy details). By uploading content, you grant us a limited license to use, store, process, and display that content as necessary to provide and improve the Service (e.g., generating plans and drafts, using third-party AI where described in our Privacy Policy). You are responsible for ensuring you have the rights to upload and use your content and that it does not violate any third-party rights.

6. Our Intellectual Property

Gaenly and its logos, design, software, and documentation are owned by us or our licensors. These Terms do not grant you any right to our trademarks or other intellectual property except the limited right to use the Service as permitted herein.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. YOUR USE OF THE SERVICE IS AT YOUR OWN RISK.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GAENLY AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM (OR ONE HUNDRED US DOLLARS IF GREATER). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN SUCH CASES, OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

9. Indemnification

You agree to indemnify and hold harmless Gaenly and its affiliates and their respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your content, or your violation of these Terms or any third-party rights.

10. Termination

We may suspend or terminate your account and access to the Service at any time, with or without cause or notice. You may stop using the Service at any time. Upon termination, your right to use the Service ceases. Provisions that by their nature should survive (including ownership, disclaimer, limitation of liability, and indemnification) will survive termination.

11. Changes to the Service and Terms

We may modify the Service or these Terms from time to time. We will post updated Terms on this page and update the "Last updated" date. Material changes may be communicated via the Service or by email where appropriate. Continued use of the Service after changes constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service.

12. General

These Terms constitute the entire agreement between you and Gaenly regarding the Service and supersede any prior agreements. If any provision is held invalid or unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right does not waive that right. You may not assign these Terms without our consent; we may assign them without restriction.

Governing law and dispute resolution will be determined in accordance with the laws of the jurisdiction in which Gaenly operates, as stated in any separate notice or agreement applicable to your use of the Service.
